Welcome to PRIOT Digital Systems (operating under PRIOT d.o.o., DUNS: 537080471, headquartered at Ulica škofa Maksimilijana Držečnika 6, 2000 Maribor, Slovenia). These Terms and Conditions govern your access to and use of our website, software engineering services, digital platforms, and related consulting.

1. Acceptance of Terms

By accessing our website or engaging with PRIOT d.o.o. for custom software, IoT, and AI development, you confirm that you have read, understood, and agreed to be bound by these Terms. If you are entering into this agreement on behalf of a company or legal entity, you represent that you possess the authority to bind such entity.

2. Services & Scope of Work

PRIOT d.o.o. provides custom digital solutions including UX/UI design, mobile & web development, AI integration, IoT platform engineering, digital twin systems, and IT/OT consulting. Specific project milestones, deliverables, timelines, and costs are defined in mutually executed Statements of Work (SOW) or Service Agreements.

3. Intellectual Property Rights

Unless explicitly agreed otherwise in a master service agreement:

All pre-existing intellectual property, proprietary tools, design frameworks, and codebase components owned by PRIOT d.o.o. prior to project commencement remain the sole property of PRIOT d.o.o.
Custom software deliverables created specifically for the client transfer to the client upon receipt of full payment according to contract terms.
PRIOT d.o.o. trademarks, logos, brand assets, and website content are protected by intellectual property laws and may not be reproduced without prior written permission.

4. Client Responsibilities

Clients agree to provide timely access to necessary specifications, hardware APIs, data feeds, and feedback essential for the execution of agreed services. Delays in client feedback or provision of access may affect agreed milestone delivery dates.

5. Confidentiality & Data Protection

Both parties agree to protect all confidential proprietary information shared during consultations and project delivery. Personal data processing complies fully with the European Union General Data Protection Regulation (GDPR). For full details, please refer to our Privacy Policy.

6. Warranties and Limitation of Liability

PRIOT d.o.o. delivers software engineering services with high standards of professional competence. Except as expressly provided in an individual contract, software and website services are provided on an "as is" and "as available" basis without warranties of any kind. To the maximum extent permitted by applicable Slovenian and EU law, PRIOT d.o.o. shall not be liable for indirect, incidental, or consequential damages.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Slovenia and applicable European Union regulations. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Maribor, Slovenia.
